Alicia’s practice focuses on the business legal needs of healthcare, medical equipment, and biotechnology clients, including securities, corporate and intellectual property compliance and transactions. She provides advice for clients of all sizes on raising capital in compliance with securities laws; documenting the business relationship of the entity’s co-owners; negotiating and drafting contracts, including those with employees, consultants, suppliers and distributors; registering, licensing and protecting intellectual property; and the purchase and sale of all or part of a company.
Alicia has documented the private placement and public offering of several hundred million dollars of securities, focusing her securities practice on assisting smaller public companies with compliance issues unique to their status as smaller reporting companies, and assisting technology companies with explaining their complicated proprietary intellectual property in the “plain English” required by securities laws. With the increasing specialization of securities laws, Alicia has focused on maintaining a detailed knowledge of disclosures required for smaller reporting companies in their Exchange Act reports and registration statements.
Alicia passed the patent bar on her first attempt at the age of 23 and uses her strong scientific background in microbiology both in her legal practice and in her scholarly research on public health law and policy issues through the Public Health Law and Policy Program at Arizona State University. She has extensive experience in negotiating and drafting licensing agreements. Alicia also handles clients’ trademark needs, helping companies determine which marks need legal protection as part of the client’s overall marketing strategy.
